1. Acceptance of Terms

By accessing or using Drivios (“the Service”), operated by Nova9 Agency (“we”, “us”, or “our”), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using the Service.

These terms apply to all users of the Service, including car rental operators, their staff, and any other individuals who access the platform.

2. Description of Service

Drivios is a cloud-based software-as-a-service (SaaS) platform designed for car rental operators in the Seychelles. The Service includes:

• Booking management and calendar
• Fleet and vehicle management
• Customer relationship management
• Digital contract creation and e-signature
• Revenue and financial reporting
• Employee and payroll management tools
• Bookkeeping and tax estimation tools
• Automated booking confirmation communications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. Features described are provided on an “as available” basis and may change without notice.

3. User Accounts and Responsibilities

To use Drivios, you must create an account by providing accurate, complete, and current information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Ensuring that all users you add to your account comply with these terms
• Notifying us immediately at marketing@nova9.agency of any unauthorised use of your account

You must be at least 18 years of age and have the legal authority to enter into these terms on behalf of yourself or your business. Accounts must not be shared between separate businesses.

4. Subscription Plans and Billing

Drivios is offered on a subscription basis. By subscribing, you agree to pay the applicable fees for your chosen plan.

• Billing: Subscriptions are billed monthly or annually, depending on the plan selected. Payments are processed via Paddle, our authorised reseller and merchant of record.
• Automatic renewal: Subscriptions renew automatically at the end of each billing period unless cancelled prior to the renewal date.
• Price changes: We may change subscription prices with at least 30 days' notice. Continued use after a price change constitutes acceptance of the new price.
• Taxes: Prices may be subject to applicable taxes depending on your jurisdiction. Paddle handles all tax compliance as the merchant of record.
• Free trials: Where a free trial is offered, no payment is required during the trial period. You may cancel at any time before the trial ends to avoid charges.

5. Refunds and Cancellations

We offer a 14-day money-back guarantee for new subscribers. Please refer to our Refund Policy for full details on how to request a refund and applicable conditions.

You may cancel your subscription at any time. Upon cancellation, your access to the Service will continue until the end of your current billing period. No partial refunds are issued for unused time within a billing period except where required by law.

6. Acceptable Use Policy

You agree not to use Drivios to:

• Violate any applicable law or regulation in the Republic of Seychelles or any other jurisdiction
• Upload, transmit, or distribute any content that is unlawful, defamatory, fraudulent, or harmful
• Attempt to gain unauthorised access to any part of the Service or its underlying infrastructure
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Use the Service to store or process data unrelated to your car rental business operations
• Resell, sublicense, or commercially exploit the Service without prior written permission
• Use automated scripts, bots, or crawlers to access or scrape the Service
• Interfere with or disrupt the integrity or performance of the Service

We reserve the right to suspend or terminate accounts that violate this policy without prior notice.

7. Data and Privacy

Your use of Drivios is also governed by our Privacy Policy, which is incorporated into these terms by reference. By using the Service, you consent to the collection and use of your data as described in the Privacy Policy.

You retain ownership of all data you input into the Service (“Customer Data”). We will not sell your Customer Data to third parties. You grant us a limited licence to process and store your Customer Data solely for the purpose of providing the Service.

You are responsible for ensuring that your use of Customer Data (including data about your customers and employees) complies with applicable data protection laws.

8. Intellectual Property

Drivios, including all software, design, text, graphics, logos, and other content, is owned by Nova9 Agency and is protected by intellectual property laws. These Terms do not grant you any rights to use our trademarks, trade names, or branding without our prior written consent.

You may not copy, reproduce, distribute, or create derivative works based on the Service or any part of it without our express written permission.

9. Disclaimer of Warranties

The Service is provided on an “as is” and “as available” basis without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free from viruses or other harmful components.

The tax estimation and payroll calculation tools within Drivios are provided for informational purposes only and do not constitute professional financial, tax, or legal advice. You should consult a qualified accountant for official advice and filing obligations.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Nova9 Agency shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or business interruption, arising from your use of or inability to use the Service.

Our total cumulative liability to you for any claims arising under these terms shall not exceed the total fees paid by you to us in the twelve (12) months preceding the event giving rise to the claim.

11. Termination

We may suspend or terminate your account and access to the Service at any time if you breach these Terms of Service, with or without notice depending on the severity of the breach.

You may terminate your account at any time by cancelling your subscription through the billing portal or by contacting us at marketing@nova9.agency.

Upon termination, your right to use the Service ceases immediately. We may retain your data for a period of up to 90 days following termination before permanent deletion, unless required by law to retain it longer.

12. Governing Law and Dispute Resolution

These Terms of Service shall be governed by and construed in accordance with the laws of the Republic of Seychelles. Any disputes arising from these terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of the Republic of Seychelles.

We encourage you to contact us first to resolve any disputes informally before initiating formal proceedings.

13. Changes to These Terms

We reserve the right to modify these Terms of Service at any time. When we make material changes, we will notify you by email or by displaying a notice within the Service. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated terms.
